1. Acceptance of Terms

By accessing or using the SarynSpace website, the Space Finance Intelligence System® (SFIS®) platform, or any related services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Platform.

Saryn Capital Ltd (“SarynSpace”, “we”, “us”, “our”) reserves the right to update these Terms at any time. Continued use of the Platform following any changes constitutes acceptance of the revised Terms.

2. Platform Description

SFIS® is an orbital infrastructure risk intelligence platform. It provides quantitative risk scoring (SIGMA), credit risk analytics (ALPHA), Monte Carlo simulations, anomaly detection, and portfolio-level analytics for satellite and space infrastructure assets.

SFIS® is not:

  • Investment advice or a recommendation to buy, sell, or hold any security
  • A credit rating within the meaning of any credit rating agency regulation (including EU CRA Regulation, US SEC Rule 17g, or equivalent)
  • A substitute for independent due diligence, legal, tax, or financial advice

All outputs are provided for informational and analytical purposes only. Users must exercise their own independent judgement in making investment, lending, or underwriting decisions.

3. Qualified Access

The SFIS® platform is intended solely for institutional and professional investors, including but not limited to:

  • Institutional lenders and commercial banks
  • Insurance and reinsurance companies
  • Asset managers and fund managers
  • Satellite operators and space infrastructure companies
  • Sovereign wealth funds and development finance institutions
  • Qualified professional advisors acting on behalf of the above

By accessing the Platform, you represent and warrant that you are a professional or institutional investor (or authorised representative thereof) with sufficient knowledge and experience to evaluate the merits and risks of the information provided.

4. Intellectual Property

All content, data, models, methodologies, software, and visual designs on the Platform are the proprietary intellectual property of Saryn Capital Ltd or its licensors. This includes, without limitation:

  • The SIGMA risk scoring methodology and its component models (RFS, TVO, FDR, DRS, RDS, EPS, CGF)
  • The ALPHA credit risk engine and its three-model architecture (Infrastructure, Growth, Sovereign)
  • Monte Carlo simulation frameworks, anomaly detection models, and ML-driven predictive analytics
  • All proprietary algorithms, calibration parameters, and scoring thresholds
  • The SFIS® trademark, SarynSpace brand, and associated visual identity

No part of the Platform may be reproduced, distributed, modified, reverse-engineered, or used to create derivative works without the prior written consent of Saryn Capital Ltd.

5. Disclaimer of Warranties

The Platform and all content, data, and analytics are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties as to the accuracy, completeness, timeliness, or reliability of any data, scores, or outputs
  • Warranties that the Platform will be uninterrupted, error-free, or free of harmful components

Risk scores, credit analytics, probability-of-default estimates, and all other quantitative outputs are modelled approximations based on available data. They are subject to model risk, data quality limitations, and inherent uncertainty. Past performance of models is not indicative of future results.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Saryn Capital Ltd, its directors, officers, employees, advisors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with:

  • Your access to or use of (or inability to access or use) the Platform
  • Any reliance on data, scores, analytics, or other content provided through the Platform
  • Any investment, lending, or underwriting decisions made based on Platform outputs
  • Any interruption, error, omission, or delay in the Platform or its data feeds
  • Any unauthorised access to or alteration of your data or transmissions

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if SarynSpace has been advised of the possibility of such damages.

7. Data Sources & Third-Party Content

The Platform integrates data from multiple third-party sources, including but not limited to:

  • Space-Track.org (orbital data, TLE elements)
  • SEC EDGAR (US public company financial filings)
  • ITU and FCC (regulatory and spectrum data)
  • NewsAPI and financial data providers (market intelligence)
  • Publicly available financial reports and disclosures

SarynSpace does not guarantee the accuracy, completeness, or timeliness of third-party data. Third-party content is subject to the respective providers’ terms of use and licensing conditions. SarynSpace shall not be held liable for any errors, omissions, or delays in third-party data.

8. Confidentiality

All proprietary data, analytics, reports, and platform outputs provided to you through SFIS® are confidential information of Saryn Capital Ltd. You agree to:

  • Not disclose, distribute, or make available any Platform outputs to third parties without prior written consent
  • Use reasonable measures to protect the confidentiality of all information accessed through the Platform
  • Not use any Platform data or outputs for purposes other than your own internal evaluation and decision-making
  • Promptly notify SarynSpace of any suspected unauthorised access or disclosure

This confidentiality obligation survives termination of your access to the Platform.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
